THE BYLAWS OF CHINESE ASSOCIATION FOR SCIENCE AND TECHNOLOGY, USA

 

 

I.    PURPOSE

The Chinese Association for Science and Technology, USA is registered in New York State as a non-political, non-profit organization. Activities organized by the Association are aimed at promoting scientific, technological, and educational exchanges as well as economic development between the United States and China. All activities will be in conformity with the local, state and federal regulations. The Association's members are professionals in the fields of scientific research, technology development, educational teaching, finance management, law and social science, as well as other professionals and students.
 

The Association's aims are:

I-1     To promote the exchange of professional information among members, and assist in the development of Chinese professionals in the United States. This information can be applied to attain a higher level of expertise in their respective fields as science, technology, education, and economics.

I-2     The Association offers a setting for Chinese professionals in the United States to share information and friendship; promote scientific, educational, and economic collaborations among Chinese in the United States and China; and support and further develop the outstanding traditions of the Chinese people.

I-3     The Association pledges to strengthen the ties between the Chinese professional community and China by improving their communications in the fields of science, technology, education, industry, and business. To promote China's open-door policy and foster the economic prosperity in US and China.

II MEMBERSHIP
 

II-1     Qualifications for Membership - Any professionals who upholds the By-laws, submits an application, pays the membership dues, and is approved by the Board of Directors may be a member.


II-2     Categories of Membership - The association has only one class of members, and no more than one membership may be held by any one person. According to differences in due payable and other considerations, members are divided into five categories as follows-

II-2.1     Honorary Members - The association invites professionals who have achieved international recognition in the fields of education, science, technology, and business, to be honorary members. Honorary members are selected by the Board of Directors. Honorary Members do not need to pay membership fees.

II-2.2     Lifetime Members - Those individuals who pay the one-time lifetime membership fee are eligible to become lifetime members. 

II-2.3     Regular Members - Regular members pay annual membership fees.
II-2.4     Student Members - Student members are currently enrolled in a college and pay annual 
student membership fees
II-2.5     Corporate Members - Corporate members pay annual corporate membership fees.

II-3     Membership fees - Membership fees are determined by and changes to the fees shall be made and approved by the board of directors.
 

II-4     Membership Privileges
II-4.1 The rights and privileges of all members are equal. A member has the right to participate all activities organized by the Association, the Association's local chapters and technical societies. A member is entitled to all benefits and programs managed under the Association.
II-4.2     A member has the right to vote and to be elected. 
II-4.3     A member should offer suggestions and support to the growth of the Association. 
II-4.4     A member has the right to attend the meetings of the Association's Board of Directors.

II.5     Membership Obligations
II-5.1     A member is obligated to pay the Association's membership fee on-time.
II-5.2     A member is obligated to obey and carry out the Association's By-laws and regulations.
II-5.3    A member is obligated to participate and support the Association's activities and events.

II-6     With the approval of over two-third of the Board of Directors or the General Assembly, a member who is found guilty of violating the Association's bylaws and regulations will be issued a warning statement. The individual's membership will be revoked if serious damage is made to the association as a result of the violation.

II-7     Property Rights. No individual member shall have any right, title, or interest in any of the property, assets or funds of association , nor shall any of such property be distributed to any member on its dissolution or winding up.

II-8     Meetings of members, Annual Meetings. An annual meeting of the members to be called the General Assembly, shall generally be held in the last week in October or the first week in November in each year. The places shall be designed from time to tome by the board of directors.

III.     ORGANIZATION


III-1     The General Assembly - The General Assembly is the highest authority in the association. The Assembly shall convene at least once a year to elect members of the Board of Directors; to decide upon the policies and major activities of the Association; and to propose and approve amendments to the
bylaws. A special Assembly meeting could be held upon request from over fifty percent of the Association's members or two-third of the Board of Directors.

III-2     The Board of Directors - The Board of Directors is the highest executive body in the Association. Its primary responsibility is to implement the policies and bylaws of the Association. 

III-2.1     The Board of Directors Candidate Selection Procedure - members are eligible for the new Board of Directors if they are active members for at lest one year and meet one of the following requirements:

  • current member of the Board of Directors running for re-election or
  • nominated by 20 or more current members of the Association or
  • nominated by 3 and more members of the Board of Directors or
  • recommended by a local chapter or technical society 

III-2.2     The Directors are each serving a three-year term, and may be re-elected but is limited to a maximum of two consecutive terms. Under certain circumstances and with an approval by two-third of the Board of Director, a director may be removed from or added to the Board; however, the total number of new additions and removal should be limited to less than one-fourth of the total number of current board of directors.

III-2.3 The Association's President is elected to serve a one-year term by the Board. The President can be re-elected but is limited to a maximum of two consecutive terms. The Association's Vice-presidents are named by the President with the approval of the Board. Under certain circumstances and with approvals from two-third of the Board of Director and via a special Assembly meeting, the Association's President and Vice-president can be removed.

III-3 Administrative Committees - The Association may set up Administrative Committees to carry out various activities. The establishment and composition of an Administrative Committee shall be determined by the Board of Directors in accordance with the objectives of the Association. The Association's President oversees all Administrative Committees' activities. Administrative Committees shall be comprised of various departments. Department heads are appointed by the President; members of the department are appointed by the department head and they assume their responsibilities upon approval by the Board of Directors (a Director may also serve as department head. These officers serve terms of one year and may serve multiple terms.

III-4 Science and Technology Committee - The Association establishes various technical societies to meet the needs of members' interests, research and development objectives. Each technical society is operated independently from the technical subject point of view. The Education Science and Technology Committee is chartered to promote collaborations among the Association's technical societies and external technical organizations. The Committee members consist of presidents or vice-presidents of all technical societies and the Committee head, who is a member of the Board and appointed by the Association's President upon the approval by the Board of Directors.

III-5 The Advisory Committee - The Advisory Committee functions as coordinator, consultant and supervisor to the Directors' activities. The advisors are highly accomplished, experienced professionals in their respective fields, and are nominated and approved by the Board of Directors. Their appointments must be mar>

VI-1 The association will hold regularly meetings to promote interaction among its members and the exchange of information and expertise in their fields. Seminars and other meetings will be scheduled as needed. 

VI-2 The Association will publish a newsletter to inform its members of activities, as well as communicate the latest developments in the education, science, technology and business world and featuring professionals of Chinese origin in the United States. 

VI-3 The Association seeks to publish a membership directory and to maintain a database to inform its members of employment and career enhancement opportunities.

VI-4 Prominent Chinese and Americans will be invited to present seminars on the development of education, science, technology and business concerning professionals of Chinese origin in the United States and to speak about future prospects.

VI-5 The Association seeks to organize its members to undertake various research projects related to education science, technology, and business, participated by Chinese professionals in the United States, and to provide its members and other similar organizations with information and
assistance.

V. The Board of Directors or the General Assembly shall have the right to explain the bylaws.
